Service Scope and Delivery

Service Standards: We commit to processing payroll accurately and delivering results according to agreed schedules. While we maintain high accuracy standards, you retain ultimate responsibility for reviewing and approving all payroll outputs before final processing and payment distribution.
Service Limitations: Our services are limited to payroll processing and related administrative functions. We do not provide legal advice, investment guidance, or comprehensive business consulting services. Complex legal or regulatory questions should be directed to qualified legal professionals.
Client Responsibilities and Obligations
Data Accuracy and Timeliness: You must provide accurate, complete, and timely information necessary for payroll processing. This includes employee data, salary changes, benefits elections, time records, and any other information affecting payroll calculations. Delays or inaccuracies in provided data may affect service delivery.
Review and Approval: You are responsible for reviewing all payroll reports, calculations, and outputs before final processing. You must notify us of any discrepancies or required corrections within specified timeframes to ensure accurate and timely payroll delivery.
Compliance Cooperation: You must maintain compliance with all applicable employment laws, provide necessary documentation for regulatory requirements, and cooperate with audit or compliance review processes. You remain responsible for employment decisions and maintaining proper employment records.
Payment Terms and Financial Obligations
Service Fees: Payment for services is due according to the schedule specified in your service agreement. Fees are typically billed monthly in advance and may include setup fees, processing fees, and additional charges for special services or rush processing requests.
Late Payment: Late payments may result in service suspension and additional fees. We reserve the right to charge interest on overdue amounts at rates permitted by law. Continued non-payment may lead to service termination and collection actions.
Expense Reimbursement: You are responsible for reimbursing any third-party costs incurred on your behalf, including bank fees, government filing fees, overnight delivery charges, and other out-of-pocket expenses related to your payroll processing.
Service Usage Limitations and Restrictions
Authorized Use: Our services may only be used for legitimate business payroll processing purposes. You may not use our services for any illegal activities, fraud, money laundering, or other prohibited purposes. We reserve the right to terminate services if we suspect misuse.
System Security: You must maintain the security of access credentials and notify us immediately of any suspected unauthorized access. You are responsible for all activities conducted using your account credentials and must implement appropriate security measures for data protection.
Service Availability: While we strive for continuous service availability, we do not guarantee uninterrupted access. Scheduled maintenance, system updates, and unforeseen technical issues may temporarily affect service availability. We will provide advance notice of planned maintenance when possible.
Legal Information and Dispute Resolution
Liability Limitations and Disclaimers
Our liability is limited to the value of services provided in the period during which the error or omission occurred. We are not liable for consequential, indirect, or punitive damages, including but not limited to lost profits, business interruption, or regulatory penalties arising from service delays or errors, except where prohibited by law.

Confidentiality and Non-Disclosure
We maintain strict confidentiality regarding all client information and business data. Both parties agree to protect confidential information disclosed during the course of our business relationship. This obligation continues beyond the termination of services and applies to all employees and contractors involved in service delivery.
Service Termination and Data Retention
Either party may terminate services with appropriate notice as specified in the service agreement. Upon termination, we will provide final reports and assist with data transfer to new service providers. We retain records as required by law and may charge fees for data retrieval requests after the retention period.
Governing Law and Jurisdiction
These terms are governed by Cyprus law and any disputes will be resolved through the Cyprus court system. We encourage resolution of disputes through direct communication and, if necessary, mediation before pursuing formal legal proceedings. Both parties agree to make good faith efforts to resolve any disagreements amicably.
Force Majeure and Service Interruptions
Neither party is liable for delays or failures in performance due to circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or technological failures. We will make reasonable efforts to minimize service disruption and communicate with clients regarding any significant service impacts.
Professional Standards and Compliance
We adhere to professional standards established by accounting and payroll processing organizations and maintain appropriate professional liability insurance coverage. Our staff undergoes regular training on regulatory changes and professional development to ensure service quality and compliance with evolving requirements.
We comply with all applicable laws and regulations, including data protection, employment law, tax regulations, and professional service standards. Any conflicts between these terms and applicable law will be resolved in favor of legal requirements, with the remainder of the terms remaining in full effect.
These terms constitute the complete agreement between parties regarding the subject matter and supersede all prior negotiations, representations, or agreements. Any modifications must be made in writing and signed by authorized representatives of both parties. If any provision is deemed unenforceable, the remaining provisions remain in full effect.
